3. User Responsibilities

- Provide accurate and complete information necessary for service delivery.
- Secure your accounts, wallets, and private keys (we are not liable for lost keys or unauthorized
access).
- Use services lawfully, refraining from illegal activities, hacking, fraud, or any unethical
practices.
4. Payments & Refunds
- Fees are specified in project proposals or invoices.
- Cryptocurrency Payments: Due to blockchain irreversibility, all cryptocurrency
payments are final and non-refundable.
- Fiat Payments: Payments are non-refundable once onboarding is complete.
However, we are committed to delivering our best efforts to ensure the successful completion of
your project.
5. Intellectual Property
- Troniex Technologies retains ownership of proprietary tools, code, and content developed
in-house.
- Clients retain ownership of deliverables (e.g., smart contracts, custom software) as per signed
agreements.
6. Disclaimers
Our services are provided “as-is” and without warranties. We do not guarantee:
- That smart contracts will be free from bugs, exploits, or vulnerabilities (smart contract risks
are inherent).
- Continuous availability, uptime, or performance of blockchain networks.
- Profitability, liquidity, or value appreciation of digital assets.
7. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or punitive damages.
- We are not responsible for losses due to hacks, user errors, blockchain forks,
or market fluctuations.
- Audit Liability: Our liability for audit errors is strictly capped at the fees
paid for that audit.
8. Force Majeure
We are not liable for delays, failures, or disruptions due to events beyond our control, including
but not limited to:
- Blockchain network outages, forks, or consensus failures.
- Regulatory changes, legal restrictions, or government actions.
- Natural disasters, cyberattacks, or unforeseen technical failures.
9. Termination
We reserve the right to suspend or terminate access to our services for:
- Violations of these Terms, such as fraud or non-payment.
- Legal, security, or compliance reasons, with notice where feasible.
10. Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of
Delaware, USA.
- Dispute Resolution: Disputes shall be resolved via binding
arbitration under the rules of the American Arbitration Association
(AAA) in New York, NY.
- EU Users: If you are in the European Union (EU), you may file
complaints with your local data protection authority under GDPR.
